Brief English Introduction
This case shows judicial caution toward belated challenges to formation registration. A shareholder who used the company’s formation materials for a public listing process could not, after a later private dispute, undo the registration merely by attacking the authenticity of seals.
Use It For
Use it to discuss timing, reliance, and the evidentiary burden when insiders attack registration documents after the company has operated publicly.
